Partner Terms for SiamPoints Sales Partners

As of: October 2026

These Partner Terms govern the cooperation between First Class Tech Ventures Co., Ltd., 352/951 Moo 12, Nong Prue, Bang Lamung, Chonburi 20150, Thailand (“we”, “us” or “SiamPoints”), and its sales partners who recommend SiamPoints to businesses in Thailand. You accept them by ticking a box when you register; we store the time, the version and your IP address. The version you accepted, with its date, is available in your partner area.

1. Sales Partners and Registration

1.1 Sales partners are Promotion Partners (promoters) — individuals and, in Thailand, also companies — and Business Partners — companies in contact with many businesses, such as agencies, POS and IT providers, consultants, accounting firms or suppliers. These Terms apply equally to both; anything that applies to only one type is stated as such.

1.2 In Thailand, only individuals of Thai nationality (holding a Thai national ID card) and companies registered in Thailand can become sales partners. You confirm this when you register.

1.3 Registration is deliberately simple: your name, your email address (confirmed with a code) and one tick box. Your partner area is then active straight away — with your personal link, your partner code and your start QR code. We do not ask for any documents for this, and no identity check using biometric data takes place. You provide your payout details only before your first payout (section 6). We may reject a registration without giving reasons and may suspend a partner area (section 9).

1.4 You act independently and on your own account: you are neither an employee nor a commercial agent of SiamPoints, you do not conclude contracts in our name, make no commitments on our behalf and accept nothing on our behalf. You decide your own working hours and bear your own costs (such as travel and telephone). Promoters confirm this with a freelancer declaration before their first payout.

1.5 Our Terms of Use and our Privacy Policy apply in addition.

2. SiamPoints Is Not a Payment Service Provider — You Do Not Accept Money

2.1 SiamPoints is not a payment service provider: SiamPoints does not accept payments on behalf of businesses or guests, does not hold money and does not pass any on. Each business pays its subscription directly to SiamPoints; guests’ payments always go directly to the business.

2.2 You never accept money from businesses or guests — not in cash, not into your account and not in any other way, not even “to pass on” — and you do not charge businesses anything for registering or for your help. SiamPoints pays your commission to you from its own funds (sections 5 and 6).

3. Your Role and Rules

3.1 You recommend SiamPoints to businesses in Thailand and, if they wish, help them register and set up — for example their LINE Official Account. You may pre-fill a business’s registration using a personal QR link. Submitting the registration, ticking boxes, accepting the terms, choosing a payment method and paying are always done by the owner personally — never by you on the owner’s behalf.

3.2 You say only what is true about SiamPoints and what is stated on our website. You do not promise any turnover, guests, reviews or results, nor any prices, discounts or services that SiamPoints does not offer, and you do not claim that SiamPoints checks or approves businesses’ content. You do not put anyone under pressure.

3.3 You promote SiamPoints only by lawful means: no advertising messages without consent (spam) within the meaning of the Computer Crime Act B.E. 2550, no bought or fake reviews, no advertising involving alcohol, gambling or other content prohibited under the Terms of Use. You use the SiamPoints name and logo and our materials (for example for table stands and flyers) only for this cooperation and only unaltered.

3.4 Only the referral of businesses that pay is rewarded — never the recruitment of further partners. Where SiamPoints offers this, a Business Partner may manage its own promoters under its account; it is responsible for them as for itself and arranges their remuneration itself.

3.5 You use the details of the businesses you enter as leads only for this cooperation and treat them as confidential; you do not share your login with anyone. You do not receive any guest data.

4. Leads and Anti-Collision — to Whom a Business Is Assigned

4.1 A lead needs only the name of the business, its location and a contact person; any further details are optional. You keep only one entry per business, and its status changes as you go.

4.2 Reserving: When you add a business to your prospect list, it is reserved for you for 72 hours — during that time only you may visit it and lock it. The number of reservations you can hold at the same time is limited; your partner area shows the current values. After that, the reservation is released automatically.

4.3 Visit with a selfie: When you visit the business, take a selfie with the camera in your partner area inside the premises — your face and the interior (such as the counter or the furnishings) must be recognizable; the time and location are recorded with it. Photos taken outside or from the street, screenshots and images from your gallery do not count; where possible, no guests or staff should appear in the picture. With the selfie, the business is locked for you for 14 days; you may extend the lock once with a new visit and a new selfie. After that, other sales partners have priority for 30 days.

4.4 There is never more than one active reservation or lock per business. If a business is already reserved, locked or a customer, you will see only that — never for whom.

4.5 Assignment on registration, in this order: (1) your partner code in the form, (2) your link or start QR code, (3) your active lock following a visit with a selfie (matched by name, location, telephone number and email; uncertain matches are decided by our team on the basis of the stored data). An active lock takes precedence over another partner’s code or link; a mere reservation does not. Without a code, a link or a lock, no commission is payable.

4.6 A business assigned in this way remains assigned to you for as long as it uses SiamPoints and our cooperation continues. No commission is payable for your own business or for businesses in which you have an interest; to check this, we compare ID numbers, email addresses, telephone numbers and bank accounts.

4.7 A lead with a false photo or a false location is invalid: the lock lapses immediately, you receive a warning, and on the third occasion we suspend your partner area. Our team may release any reservation or lock or assign it to another partner; the reason is recorded in the log.

5. Commission

5.1 Your commission rate is shown in your partner area. If we change it, we will give you at least 30 days’ notice by email; the new rate applies only to payments received after that. Commission already earned is not affected.

5.2 Commission is calculated on the subscription actually paid by the businesses assigned to you — on the final price the business pays to SiamPoints. No commission is payable for the trial period, for free months (for example through an association or a promotion), for unpaid invoices or for other services (such as advertising, the promotional materials shop or display stands). If a business also uses the code of an association or partner company, the amount it actually pays is what counts.

5.3 Commission arises when the payment is received by us — for every payment received while our cooperation continues. If a payment is reversed, refunded or charged back, the commission lapses; if it has already been paid out, we deduct it from your next payout.

5.4 Commission is a final amount. If you are registered for VAT, the VAT is included in it, and you issue us a tax invoice for it.

5.5 Your partner area shows your businesses and their status, the commission per business, what is pending, what has been paid out and what is “on hold”, as well as every statement as a PDF.

6. Payout, Withholding Tax and 50 Tawi

6.1 We pay out at the intervals shown in your partner area (currently weekly) once the minimum amount has been reached; a smaller amount is carried over to the next payout.

6.2 Before your first payout, you provide the following in your partner area: the 13-digit number of your Thai national ID card (which is also your tax ID) or, for a company, its 13-digit tax ID; your name as shown on your ID card or the company name as registered (companies also stating head office or branch); your address; and an account in your own name or in the company’s name, or PromptPay to your own number. You may upload a Thai QR code on a voluntary basis. Each number and each account can exist only once in the system.

6.3 We do not pay out without a valid number and complete details. Your balance then remains “on hold” and does not expire; your partner area shows what is still missing. The account holder must be the registered name. If you change your bank details, our team checks them before we resume payouts; our team also takes a brief look at your first payout.

6.4 We pay by bank transfer or PromptPay in Thai baht from our account. Where there is reasonable suspicion of fraud or misuse, we may withhold individual payouts until the matter has been resolved.

6.5 From every payout we withhold tax at source in accordance with the Thai Revenue Code (currently 3 %; for individuals via form ภ.ง.ด.3, for companies via ภ.ง.ด.53), remit it to the Revenue Department and send you, for every payout, the withholding tax certificate (50 Tawi) in Thai by email; you will also find it in your partner area, together with an annual summary each January. If the statutory rate changes, or if we pay out via a bank’s e-Withholding Tax system, the rate prescribed for that applies. Statements and certificates bear your partner number (Promotion Partner ID or Business Partner ID).

6.6 Your own tax return, any VAT and all other levies on your income are solely your responsibility.

7. Your Data

7.1 We process your data in accordance with our Privacy Policy: your first and last name or company name, contact details, partner code and link, the leads you report together with your photos, and the basis for your commission; before the first payout, the 13-digit number, your address and your bank details; in addition, the payouts, the deduction of withholding tax and the certificates (50 Tawi). No identity check using biometric data takes place. Your selfies are visible only to you and to authorized members of our team.

7.2 For your commission, you learn which of the businesses assigned to you have registered and what they have paid — never any guest data.

7.3 We keep your data for the duration of the cooperation, and statements, payouts and withholding tax records for up to 10 years; leads that do not result in a contract are kept for the periods set out in the Privacy Policy.

8. Liability and Indemnity

8.1 You indemnify First Class Tech Ventures Co., Ltd., its directors and employees against all claims, penalties, fines and demands of third parties — for example businesses, guests, authorities or your own staff and promoters — arising from your breach of these Terms or of applicable law, including reasonable costs of legal defense, under civil law and, to the extent permitted by law, also under criminal and administrative law. Any liability or joint liability of SiamPoints for your conduct is excluded.

8.2 SiamPoints guarantees neither income nor an uninterrupted platform. To the extent permitted by law, our liability is limited to the commission paid out to you in the 3 months before the event giving rise to the damage; this does not affect liability for willful misconduct and gross negligence to the extent that it cannot be excluded under Thai law.

9. Term, Suspension and Termination

9.1 The cooperation runs for an indefinite period. You may end it at any time — in your partner area or by email. We may end it by email with 14 days’ notice, or without notice for good cause.

9.2 In the event of a breach of these Terms or a reasonable suspicion of one — such as false selfies, false promises, spam, accepting money or deception in the assignment of businesses — we may suspend your partner area immediately. No commission is payable for assignments obtained by deception; any already paid out will be reclaimed or set off.

9.3 When the cooperation ends, your link, code and start QR code become invalid, and you stop using the SiamPoints name, logo and materials. Commission on payments received up to the end will be paid out in accordance with section 6, even afterwards; no commission arises on later payments. The businesses remain customers of SiamPoints.

10. Changes

If we change these Terms, we will notify you of the new version at least 14 days in advance by email and in your partner area. If you continue the cooperation after that, the new version applies; otherwise you may end the cooperation at any time. Section 5.1 applies to the commission rate.

11. Governing Law, Jurisdiction and Language

11.1 These Terms are governed exclusively by the laws of the Kingdom of Thailand. The exclusive place of jurisdiction is Chonburi, Thailand.

11.2 Should individual provisions be invalid, this shall not affect the validity of the remaining provisions.

11.3 These Terms are drawn up in the Thai language and translated into other languages. In the event of any discrepancy, only the Thai version is authoritative before Thai authorities and courts.
