Terms for Associations & Partner Companies of SiamPoints

These Terms govern the cooperation between First Class Tech Ventures Co., Ltd., 352/951 Moo 12, Nong Prue, Bang Lamung, Chonburi 20150, Thailand (“we”, “us” or “SiamPoints”), and industry associations as well as companies with many customers — such as real estate agencies, insurers, insurance brokers, accounting firms or banks (“partner companies”) — that recommend SiamPoints to their members or customers. They apply as soon as the cooperation has been confirmed, for example by email or by signature.
1. The Cooperation
1.1 For each association and each partner company, we record the cooperation in our system: an advantage for the members or customers, a commission, both or neither — each with a duration. We inform the association or partner company in writing of what has been recorded; an email is sufficient.
1.2 There is no separate login for associations and partner companies. We enter their details — name, address, tax ID, contact person, bank details or PromptPay, and email address — as they provide them; these details are voluntary but are required for a commission to be paid out (section 5).
1.3 The association or partner company acts independently: it does not conclude contracts in our name, make commitments on our behalf or accept money on our behalf.
2. Code, Link and QR Code
2.1 Each association and each partner company receives a code, an invitation link and a QR code. Businesses use them when they register or enter the code later under “My subscription”. Only one association or partner company applies per business.
2.2 You pass on the code, link and QR code only to your own members or customers. On request, you confirm to us whether a business is a member or customer, and you inform us when it no longer is; we then record “No longer an association member”.
2.3 You say only what is true about SiamPoints and what we have recorded, you do not promise any further advantages and you promote SiamPoints only by lawful means, in particular without sending advertising messages without consent. You use the SiamPoints name and logo only for this cooperation.
3. Advantage for Members and Customers
3.1 There is exactly one advantage: a percentage discount, free months at the start or special subscription prices per month or year (final prices) — each for the recorded duration. It replaces any other discounts and promotions. The details for businesses are set out in our Subscription Terms (section 14).
3.2 The 7-day trial period comes before the free months. For the business, free months count as paid; it receives a receipt for ฿0 for each of them stating “Free month – association membership/promotion”.
3.3 The advantage ends when its duration expires, when we record “No longer an association member” or when the cooperation ends; from the next billing month, the business then pays the regular prices. If we change the advantage, the change applies to existing members from the next billing month.
4. Commission
4.1 The commission is a percentage that we record separately from the advantage, with its own duration (unlimited unless recorded otherwise). For a given business, it ends when we record “No longer an association member” or when the business stops paying, and for all businesses when the cooperation ends.
4.2 The commission is calculated only on the subscription actually paid — always on the gross amount, i.e. on the final price the business pays to SiamPoints, even if SiamPoints is registered for VAT. No commission is payable for the trial period, for free months, for unpaid invoices or for other services (such as advertising or the promotional materials shop). An annual payment counts in the month in which it is made.
4.3 If a payment is refunded or charged back, we deduct the corresponding commission in the next statement. If a business also comes through a sales partner, both receive their commission.
4.4 The commission is a final amount. If the association or partner company is registered for VAT, the VAT is included in it, and the association or partner company issues us a tax invoice for it.
5. Statement and Payout
5.1 On the 1st of each month, we prepare the statement for the previous month as a PDF: your details, the businesses using your code with their names and subscription amounts, the commission, any deductions, the withholding tax and the amount to be paid out. If we have your email address, we send it automatically; otherwise you receive a printed copy. Every statement is stored unchanged.
5.2 We pay by bank transfer or PromptPay into an account in your name once the minimum amount has been reached (currently ฿500); a smaller amount is carried over to the next month. As long as your tax ID, address or account details are missing, the payout is held; nothing expires.
5.3 From every payout we withhold tax at source in accordance with the Thai Revenue Code, remit it to the Revenue Department and issue you the withholding tax certificate (50 Tawi) — under the same rules as for our sales partners.
5.4 SiamPoints is not a payment service provider: SiamPoints does not accept payments on behalf of businesses or guests, does not hold money and does not pass any on. Businesses pay their subscription directly to SiamPoints; we pay your commission from our own funds.
6. Data
6.1 We process your details in accordance with our Privacy Policy: name, address, tax ID, contact person, bank details and, on a voluntary basis, an email address, together with the statements, payouts and withholding tax certificates. We keep them for the duration of the cooperation, and statements, payouts and withholding tax records for up to 10 years.
6.2 For the statement, you learn the names of the businesses registered with your code and the amount of their subscription — never any guest data. You use this information only for the statement and treat it as confidential.
7. Liability and Indemnity
7.1 You indemnify First Class Tech Ventures Co., Ltd., its directors and employees against all claims, penalties, fines and demands of third parties arising from your breach of these Terms or of applicable law, including reasonable costs of legal defense, to the extent permitted by law.
7.2 To the extent permitted by law, our liability is limited to the commission paid out to you in the 3 months before the event giving rise to the damage; this does not affect liability for willful misconduct and gross negligence to the extent that it cannot be excluded under Thai law.
8. Term and Termination
8.1 The cooperation runs for an indefinite period. Either party may end it by email at any time with effect from the end of a month, or without notice for good cause.
8.2 When the cooperation ends, your code ceases to be valid immediately; your members or customers pay the regular prices from the next billing month. We still settle and pay out commission on payments received up to the end.
9. Changes, Governing Law and Language
9.1 If we change these Terms, we will send you the new version by email at least 14 days in advance; if you continue the cooperation after that, the new version applies. We will likewise inform you of any changes to the advantage and the commission.
9.2 These Terms are governed exclusively by the laws of the Kingdom of Thailand; the exclusive place of jurisdiction is Chonburi, Thailand. Should individual provisions be invalid, this shall not affect the validity of the remaining provisions. In the event of any discrepancy between language versions, only the Thai version is authoritative before Thai authorities and courts.
